1. Acceptance of Terms

By engaging Zenshift’s services, you agree to be bound by these Terms and Conditions (“Agreement”).

2. Services

Zenshift provides workflow automation, AI-driven content generation, and sales enablement services, as outlined in the Service Order.

3. Service Fees and Payment Terms

  • Fee Structure: Quoted in INR, exclusive of GST.
  • Payment Schedule: 50% non-refundable deposit; remaining as per milestones.
  • Late Payments: INR 500 late fee if unpaid within 7 days.
  • Invoice Acceptance: Payment implies acceptance of quote and scope.

4. Client Responsibilities

  • Provide timely access to necessary resources.
  • Supply accurate and complete information.
  • Review deliverables and respond within 5 business days.
  • Maintain third-party licenses as needed.

5. Proprietary Rights and Licensing

  • Ownership: Client owns final deliverables upon full payment.
  • Zenshift Rights: Right to use anonymized case studies and display work.
  • Third-Party Components: Subject to respective license terms.

6. Confidentiality

  • Confidentiality is required for all non-public shared info.
  • Excludes publicly available or independently developed info.
  • Obligation survives termination for 3 years.

7. Warranties and Disclaimers

  • Mutual Warranties: Authority to enter the Agreement.
  • Service Warranty: Professional delivery in line with industry standards.
  • Disclaimer: All other warranties disclaimed.

8. Limitation of Liability

  • Cap: Limited to fees paid in past 12 months.
  • Exclusion: No liability for indirect, consequential, or punitive damages.

9. Term and Termination

  • Term: Commences on date of engagement.
  • Client Termination: 30-day notice for material breach.
  • Zenshift Termination: Immediate for unpaid invoices or illegal activity.
  • Effect: Client owes fees up to termination; return of Confidential Information.
